2. Definitions
2.1. Freelancer: An individual who offers services on a project basis through the platform.
2.2. Client: An individual or organization that hires a Freelancer to complete specific tasks or projects.
2.3. Account: A registered user profile on thfreelancer.com, which provides access to the platform’s features.
2.4. Project: A specific task or set of tasks assigned by a Client to a Freelancer.
2.5. Platform: The online service provided by thfreelancer.com, enabling interactions, transactions, and communications between Freelancers and Clients.
2.6. Milestone: A predefined segment of a Project, agreed upon by both Client and Freelancer, which often corresponds to partial completion and triggers partial payments.
2.7. Proposal: A formal offer submitted by a Freelancer to undertake a Project, outlining terms such as cost, timeline, and deliverables.
2.8. Service Fee: A percentage or fixed amount charged by thfreelancer.com for facilitating transactions between Freelancers and Clients.
2.9. Dispute: A disagreement or conflict arising between a Client and a Freelancer, often related to project deliverables, payments, or timelines, which may require resolution by thfreelancer.com.
2.10. User Content: Any text, images, files, or other materials uploaded or shared by Users on thfreelancer.com, including but not limited to proposals, profiles, and messages.
2.11. Escrow: A secure payment mechanism on the platform, where funds are held by thfreelancer.com until the agreed-upon milestones or project completion are satisfactorily met.
2.12. Verification: The process by which thfreelancer.com confirms the identity or qualifications of a User to ensure compliance with platform policies.
2.13. User: Any individual or entity registered on thfreelancer.com, including both Freelancers and Clients, who utilizes the platform’s features and services.
2.14. Deliverables: The final products, results, or outputs that a Freelancer is obligated to provide to a Client as specified in the Project agreement.
3. User Accounts
3.1. To use certain features of the platform, users must create an Account. Users are responsible for maintaining the confidentiality of their Account information and for all activities that occur under their Account.
3.2. Users must provide accurate and complete information during the registration process and keep their information updated.
3.3. The platform reserves the right to suspend or terminate Accounts that violate these Terms or engage in fraudulent activities.
4. Use of the Platform
4.1. Users agree to use thfreelancer.com solely for lawful purposes and in accordance with these Terms.
4.2. Users must not:

- Post false or misleading information about services or qualifications.

5. Project Listings and Bidding
5.1. Clients can post Projects on thfreelancer.com, specifying details such as project scope, budget, and deadlines.
5.2. Freelancers can submit bids for Projects they wish to undertake, outlining their qualifications and proposed fees.
5.3. Clients are responsible for reviewing bids and selecting Freelancers based on their criteria.
6. Payment Terms
6.1. Payment methods accepted on thfreelancer.com include credit cards, bank transfers, and other electronic payment systems as specified on the platform.
6.2. Clients agree to pay Freelancers according to the terms outlined in their Project agreements, including any upfront payments or milestones established.
6.3. All financial transactions conducted through thfreelancer.com are subject to service fees as outlined in the platform’s fee structure.
7. Cancellation and Refund Policy
7.1. Clients may cancel Projects before work begins without incurring charges; however, once work has commenced, cancellation terms will depend on the progress made and any agreed-upon terms between the Client and Freelancer.
7.2. Refund requests must be submitted in writing within a specified period after cancellation, and will be processed according to the platform’s refund policy.
8. Intellectual Property Rights
8.1. Upon full payment for a Project, Clients will own all rights, title, and interest to the work produced by Freelancers under the scope of the agreed-upon services, unless an alternative arrangement has been expressly documented and mutually agreed upon in writing. This includes, but is not limited to, intellectual property rights in any drafts, concepts, designs, or final deliverables created by the Freelancer as part of the Project.
8.2. Freelancers retain the non-exclusive right to include completed work in their personal and professional portfolios as examples of their capabilities and expertise, unless the Client has explicitly restricted such use in writing. This right to showcase work excludes any usage that would result in a breach of confidentiality or disclose proprietary or sensitive information belonging to the Client. Freelancers agree to respect Client confidentiality and ensure that any displayed work adheres to applicable non-disclosure agreements or restrictions.
9. Confidentiality
9.1. Both parties, including Freelancers and Clients, expressly agree to maintain strict confidentiality concerning any proprietary, sensitive, or confidential information exchanged, disclosed, or otherwise made available during the course of their working relationship, whether such information is shared orally, in writing, electronically, or in any other format.
9.2. This obligation to uphold confidentiality shall remain in full force and effect indefinitely, extending beyond the completion of a Project, the termination of an Account, or the cessation of any professional association between the parties. Neither party shall disclose, reproduce, or use any confidential information for purposes other than those explicitly agreed upon without prior written consent from the disclosing party.
10. Dispute Resolution
10.1. In case of disputes between Clients and Freelancers, both parties are encouraged to resolve issues amicably through direct communication.
10.2. If a resolution cannot be reached, disputes may be escalated to thfreelancer.com for mediation or arbitration as per the platform’s dispute resolution process.
11. Limitation of Liability
11.1. Thfreelancer.com, including its affiliates, officers, employees, agents, and partners, shall not be held responsible or liable for any damages, losses, or harm that may arise in connection with or as a result of your use of the platform or its services. This includes, but is not limited to, direct, indirect, incidental, special, exemplary, punitive, or consequential damages, regardless of whether such damages are foreseeable or whether the platform has been advised of the possibility of such damages. This limitation applies to all claims, whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory.
11.2. The platform explicitly disclaims any responsibility or liability for the success, failure, or specific outcomes of any Projects facilitated through thfreelancer.com. It is expressly understood that thfreelancer.com does not make any guarantees, promises, warranties, or representations regarding the quality, reliability, timeliness, or effectiveness of any Project or work performed by Freelancers or any actions or commitments undertaken by Clients. Furthermore, the platform does not provide endorsements, assurances, or certifications for any specific Freelancer or Client, and any reliance placed on the profiles, feedback, or ratings available on the platform is done solely at your own discretion and risk.
12. Termination
12.1. Either party may terminate this agreement at any time by providing written notice to the other party.
12.2. The platform reserves the right to terminate Accounts that violate these Terms or engage in fraudulent activities without prior notice.
13. Governing Law
13.1 These Terms shall be governed by and construed in accordance with the laws applicable in the jurisdiction where thfreelancer.com operates.
13.2 Any legal action arising out of or relating to these Terms shall be brought exclusively in the courts located within that jurisdiction.
14. Miscellaneous Provisions
14.1 If any provision of these Terms is found invalid or unenforceable by a court of law, such provision shall be limited or eliminated so that the remaining provisions shall remain in full force and effect.
